In accordance with a resolution passed at the 2011 AGM, a vote will be taken at LBC's upcoming Annual General Meeting (to be held February 25, 2012, at 16:30 at the DBRC) as to whether to incorporate the Club as a non-profit corporation limited by guarantee. The basis for incorporation will be a new Memorandum of Association and Articles of Association ("Mem & Arts"), drafts of which are posted here for LBC members' examination and comments. These documents would replace LBC's existing constitution. Also to be considered for approval at the AGM are a new set of Club Bylaws, to which the Articles of Association refer. The Bylaws would replace LBC's existing Club Rules.
LBC members are encouraged to read all three documents and suggest changes or revisions in advance of the AGM. If approved by the LBC Committee and Incorporation Subcommittee, these will be incorporated into the final drafts presented to the Club at the AGM.
